1. Informational and Business Use

The Site provides information about Builtwell and facilitates business inquiries. It is intended for lawful business use by adults. Site content is general information and does not create a client relationship, professional-services engagement, partnership, agency, fiduciary relationship, or other special relationship.

2. No Professional Advice or Guarantee

Site content is not legal, tax, accounting, investment, employment, cybersecurity-certification, or other regulated professional advice. Information about technology, platforms, implementation approaches, automation, or business practices may not be complete or suitable for a particular situation. Builtwell does not guarantee any business, technical, financial, or operational outcome from use of the Site.

3. Intellectual Property

The Site and its text, graphics, branding, design, downloads, and other content are owned by Builtwell or its licensors and are protected by applicable intellectual-property laws. Builtwell grants you a limited, revocable, nonexclusive, nontransferable right to access and view the Site for lawful internal business purposes. You may not reproduce, republish, sell, license, scrape, systematically extract, or commercially exploit Site content without Builtwell’s prior written permission, except as applicable law permits.

4. Acceptable Use

• Do not use the Site for unlawful, fraudulent, abusive, or harmful activity.
• Do not attempt to gain unauthorized access to the Site, accounts, systems, or data, or bypass access, rate-limit, or security controls.
• Do not introduce malicious code, disrupt the Site, or place an unreasonable load on its infrastructure.
• Do not impersonate another person or misrepresent your identity, authority, or affiliation.
• Do not use automated scraping, crawling, data-mining, or similar tools in a manner that violates law, these Terms, or technical restrictions communicated by Builtwell.

5. Inquiries, Submissions, and Sensitive Information

Information submitted through the Site or ordinary business inquiry channels is used to evaluate and respond to your request and is handled as described in the Website Privacy Policy. Unless a written nondisclosure agreement or other confidentiality agreement is already in effect, submitting information through the Site does not by itself create a confidentiality obligation beyond duties imposed by applicable law. Do not submit trade secrets, credentials, protected health information, payment-card data, Social Security numbers, government identification numbers, biometric data, or other highly sensitive information through ordinary website channels unless Builtwell has expressly authorized the submission and appropriate safeguards are in place.

6. Third-Party Platforms, Links, and Marks

The Site may reference or link to third-party platforms, software, websites, or services. Third-party names and marks belong to their respective owners. Unless Builtwell expressly states otherwise in a separate written authorization, Builtwell is an independent service provider and is not sponsored, endorsed, employed by, or acting as an agent, reseller, partner, or authorized representative of monday.com or any other third-party platform. Builtwell does not control and is not responsible for third-party sites, services, terms, availability, or privacy practices.

7. Site Availability and Changes

Builtwell may modify, suspend, restrict, or discontinue all or part of the Site at any time. Builtwell may also update Site content without notice. Builtwell is not obligated to keep any particular content, feature, or resource available.

8. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND SITE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” BUILTWELL DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. Nothing in these Terms limits any warranty that cannot lawfully be excluded.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUILTWELL AND ITS MEMBERS, PERSONNEL, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, BUSINESS OPPORTUNITY, OR DATA, ARISING FROM OR RELATING TO USE OF THE SITE. BUILTWELL’S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SITE WILL NOT EXCEED $100. These limitations do not apply to liability that cannot lawfully be limited, or to Builtwell’s fraud, gross negligence, or willful misconduct.

10. Indemnification for Misuse

To the extent permitted by law, you will indemnify and hold harmless Builtwell and its personnel from third-party claims arising from your unlawful misuse of the Site, your violation of another person’s rights through the Site, or content you submit in violation of these Terms. This Section does not require indemnification for Builtwell’s own fraud, gross negligence, or willful misconduct.

11. Governing Law and Venue

New York law governs these Terms without regard to conflict-of-law principles. Exclusive jurisdiction and venue for disputes arising from these Terms or the Site lie in the state and federal courts located in New York County, New York, except where applicable law requires otherwise.

12. Changes to These Terms

Builtwell may update these Terms from time to time. The “Last Updated” date identifies the current version. Updated Terms apply to Site use after they are posted, subject to applicable law. A separate signed services agreement can be changed only as that agreement permits.

13. General

If a provision of these Terms is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue in effect. Builtwell’s failure to enforce a provision is not a waiver. These Terms are the entire agreement governing ordinary use of the Site, but they do not replace any signed nondisclosure, services, employment, vendor, or other agreement that separately applies. The Website Privacy Policy describes Builtwell’s information practices and is referenced for information only.
